Terms of Service

1. Acceptance of Terms

By creating an account or using Codewick, you agree to be bound by these Terms of Service. If you do not agree, do not use the service. These terms constitute a legally binding agreement between you and Codewick.

2. Account Registration

To use Codewick, you must create an account. By registering, you represent that:

• You are at least 16 years of age.
• The information you provide is accurate and complete.
• You will maintain only one account per person.
• You are responsible for all activity under your account and for keeping your credentials secure.

3. Subscription & Billing

Codewick offers monthly and annual subscription plans. All payments are processed securely through Stripe.

• Auto-renewal — subscriptions renew automatically at the end of each billing period unless cancelled beforehand.
• Tier changes — you may upgrade or downgrade your plan at any time. Upgrades take effect immediately; downgrades take effect at the start of the next billing cycle.
• Refunds — if you cancel within the current billing period, you will receive a prorated refund for the unused portion. No refunds are issued after the billing period has ended.
• Price changes — we will notify you at least 30 days in advance of any price increases. The new price applies at the start of your next billing cycle after the notice period.

4. Usage Limits

Each subscription tier includes a token budget for AI-powered features. When your token budget is exhausted:

• AI features (chat, code generation, refactoring assistance) will be disabled until the budget resets or you upgrade your plan.
• All non-AI features (editor, file explorer, terminal, git, built-in browser) continue to function without interruption.
• Token budgets reset at the start of each billing cycle.

5. Intellectual Property

Your code is yours. Codewick claims no ownership, license, or rights over any code, files, or content you create using the service.

Codewick, including its name, logo, application, website, and documentation, is the intellectual property of Codewick and is protected by applicable copyright and trademark law. You may not copy, modify, or redistribute the Codewick application or brand assets without written permission.

6. Acceptable Use

Your use of Codewick is subject to our Acceptable Use Policy, which is incorporated into these terms by reference. Violations of the Acceptable Use Policy may result in suspension or termination of your account.

7. AI-Generated Content

Codewick integrates third-party AI models to assist with coding tasks. You acknowledge that:

• AI-generated code and suggestions are provided "as is" with no guarantee of correctness, security, or fitness for any purpose.
• You are solely responsible for reviewing, testing, and validating any AI-generated content before using it in production.
• Codewick is not liable for errors, vulnerabilities, or damages resulting from AI-generated output.

8. Termination

Either party may terminate this agreement at any time:

• By you — cancel your subscription from your account settings. Your access continues until the end of the current billing period.
• By Codewick — we may suspend or terminate your account for violations of these terms or the Acceptable Use Policy, with notice where practicable.

Upon termination, your account data will be permanently deleted within 30 days. Since your code is stored locally on your device, it is unaffected by account termination.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Codewick and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the service.

Codewick's total aggregate liability for any claims arising under these terms shall not exceed the amount you paid to Codewick in the twelve (12) months preceding the claim.

10. Changes to Terms

We may update these terms from time to time. For material changes, we will provide at least 30 days' notice via email or an in-app notification before the changes take effect. Your continued use of Codewick after the effective date constitutes acceptance of the revised terms. If you do not agree with the changes, you may cancel your account before they take effect.
